AdsNet Platform & Advertising Services Agreement
Effective Date: [09 June 2026]
1. Introduction
This Platform & Advertising Services Agreement (“Agreement”) governs the provision of lead generation, landing page, hosting, advertising, campaign management, deployment and related services provided by AdsNet.
By creating an account, purchasing a package, accessing the platform or using any AdsNet service, the Client agrees to be bound by this Agreement.
This Agreement must be read together with:

In the event of a conflict, this Agreement shall govern the commercial relationship between AdsNet and the Client.
2. Nature of Services
AdsNet provides software, hosting, lead generation systems, landing page services and advertising-related services.
Services may include:
- Landing page creation
- Landing page hosting
- Landing page deployment
- Business profile management
- Lead capture systems
- Campaign drafting
- Campaign optimisation
- Google Ads support
- Facebook advertising support
- Advertising account setup
- Advertising account management
- Lead notifications
- Reporting tools
- Support services
- Website deployment services
- Website generation services
- Future platform enhancements
AdsNet may add, modify or discontinue services from time to time.
3. Managed Services
Managed Services are services operated and maintained by AdsNet.
These may include:
- Hosted landing pages
- Landing page maintenance
- Lead capture systems
- Lead delivery systems
- Dashboard access
- Reporting systems
- Campaign management
- Advertising optimisation
- Technical support
Managed Services operate on a rental and subscription basis.
The Client receives the right to use the service during the active subscription period.
Managed Services do not transfer ownership of:
- Landing page URLs
- Hosting resources
- AdsNet systems
- AdsNet templates
- AdsNet software
- AdsNet infrastructure
4. Self-Hosted Services
Self-Hosted Services involve deployment to infrastructure owned or controlled by the Client.
Examples include:
- Client-owned domains
- Client-owned websites
- Client-owned hosting
- Client-owned servers
- Client-owned advertising accounts
The Client remains responsible for:
- Hosting costs
- Maintenance costs
- Security
- Software updates
- Server performance
- Website backups
AdsNet is not responsible for issues arising from Client infrastructure.
5. Advertising Services
AdsNet may assist with:
- Campaign creation
- Campaign setup
- Keyword research
- Audience targeting
- Campaign structure
- Landing page alignment
- Conversion tracking
- Campaign optimisation
- Performance monitoring
Advertising services are provided on a best-effort basis.
Advertising outcomes can never be guaranteed.
6. No Guarantee of Advertising Results
AdsNet does not guarantee:
- Leads
- Customers
- Sales
- Revenue
- Return on ad spend
- Profit
- Conversion rates
- Search rankings
- Click-through rates
- Cost-per-lead targets
Advertising performance depends on factors beyond AdsNet’s control including:
- Competition
- Market demand
- Budget
- Industry conditions
- Consumer behaviour
- Economic conditions
- Seasonal fluctuations
- Client pricing
- Client reputation
- Client response times
AdsNet’s obligation is to provide the agreed service and advertising setup.
7. Advertising Spend
Advertising budgets belong entirely to the Client.
AdsNet does not fund advertising campaigns.
The Client remains responsible for:
- Budget decisions
- Campaign approvals
- Payment methods
- Billing disputes with advertising platforms
- Advertising spend losses
AdsNet shall not be liable for advertising expenditure incurred by the Client.
8. Advertising Account Ownership
Where advertising accounts are created in the Client’s name:
- The Client remains the owner.
- The Client remains responsible for billing.
- The Client remains responsible for compliance.
AdsNet may be granted management access solely for service delivery purposes.
9. Advertising Account Transfer
Certain advertising accounts, campaign structures, optimisation assets, campaign intelligence and related resources may have commercial value.
Where ownership transfer is requested:
- AdsNet may assess the account.
- Transfer fees may apply.
- Fees start from R1,500.
- Final fees depend on account history, optimisation work, campaign value and complexity.
AdsNet reserves the right to approve or decline transfer requests.
10. Landing Page Performance
AdsNet designs landing pages using recognised lead-generation principles.
However AdsNet cannot guarantee:
- Lead volumes
- Conversion rates
- Customer quality
- Revenue generation
Landing page performance depends on:
- Offer quality
- Pricing
- Competition
- Traffic quality
- Market demand
- Client responsiveness
11. Lead Delivery
AdsNet may deliver leads through:
- Dashboard notifications
- Email notifications
- CRM integrations
- Reporting systems
AdsNet does not guarantee uninterrupted delivery.
Third-party outages may affect delivery.
12. Client Responsibilities
The Client agrees to:
- Supply accurate information.
- Respond to leads promptly.
- Maintain legal compliance.
- Obtain required licences.
- Honour customer obligations.
- Comply with advertising policies.
- Comply with applicable laws.
The Client remains solely responsible for their business operations.
13. Intellectual Property
AdsNet retains ownership of:
- Platform software
- Source code
- Templates
- Hosting systems
- Dashboards
- Campaign systems
- Internal processes
- Proprietary methodologies
No ownership transfers unless expressly agreed in writing.
13A. Independent Contractor Relationship
Independent Contractor Status
The relationship between AdsNet and the Client is strictly that of independent contracting parties.
Nothing in this Agreement, the Terms of Use, the use of the AdsNet platform, the provision of services, the creation of landing pages, the management of advertising campaigns, the generation of leads or any other activity shall be interpreted as creating:
- A partnership;
- A joint venture;
- An employment relationship;
- An agency relationship;
- A franchise relationship;
- A brokerage relationship;
- A fiduciary relationship; or
- Any other legal relationship beyond that of independent contracting parties.
No Authority to Bind
Neither party shall have authority to:
- Enter into agreements on behalf of the other party;
- Create obligations on behalf of the other party;
- Make representations on behalf of the other party;
- Bind the other party to contracts, commitments or liabilities;
- Hold itself out as authorised to act on behalf of the other party.
The Client shall not represent to any person that AdsNet is:
- A business partner;
- A co-owner;
- A joint venture participant;
- An investor;
- A guarantor;
- An insurer;
- A representative;
- An employee; or
- A responsible party for the Client’s business operations.
Similarly, AdsNet shall not represent that it owns, controls or operates the Client’s business.
Client Remains Independently Responsible
The Client remains solely responsible for:
- Business operations;
- Products sold;
- Services rendered;
- Pricing decisions;
- Advertising claims;
- Customer support;
- Customer disputes;
- Tax obligations;
- Regulatory compliance;
- Consumer protection compliance;
- Employment matters;
- Financial obligations;
- Contractual obligations to customers.
The Client acknowledges that AdsNet does not operate the Client’s business and cannot control how the Client conducts its operations.
AdsNet Not Responsible for Business Activities
AdsNet provides technology, hosting, landing page services, advertising tools, campaign support and related services.
AdsNet does not:
- Employ the Client;
- Supervise the Client’s business;
- Manage the Client’s employees;
- Control the Client’s products or services;
- Approve every customer interaction;
- Participate in negotiations between the Client and customers;
- Assume responsibility for the Client’s legal obligations.
The Client remains solely responsible for all commercial activities conducted through or in connection with AdsNet services.
No Exclusive Relationship
Nothing in this Agreement prevents either party from:
- Providing similar services to others;
- Receiving similar services from others;
- Conducting business with competitors of the other party;
- Entering into other commercial relationships.
Unless expressly agreed in writing, no exclusivity arrangement exists between AdsNet and the Client.
No Guarantee of Business Success
The Client acknowledges that the use of AdsNet services does not create any partnership or shared commercial undertaking between the parties.
Any profits, losses, customer outcomes, advertising results, business growth or business decline remain solely the responsibility of the Client.
AdsNet’s role is limited to providing the agreed services and technology platform.
14. Third-Party Services
AdsNet relies on third-party services including:
- Meta/Facebook
- Hosting providers
- Email providers
- Analytics providers
- Payment gateways
AdsNet is not liable for failures or actions taken by third-party providers.
15. Suspension and Termination
AdsNet may suspend or terminate services where:
- Payments are overdue.
- Terms are breached.
- Fraud is suspected.
- Illegal activity is suspected.
- Platform abuse occurs.
- Reputational risk exists.
AdsNet may suspend access without prior notice where necessary to protect the platform.
16. Limitation of Liability
To the fullest extent permitted by law, AdsNet shall not be liable for:
- Lost profits
- Lost revenue
- Lost business opportunities
- Advertising losses
- Customer disputes
- Reputational damage
- Indirect losses
- Consequential losses
- Data loss
- Third-party platform actions
Any liability shall be limited to the amount paid by the Client to AdsNet during the three (3) months preceding the claim.
17. Indemnity
The Client agrees to indemnify and hold harmless AdsNet from any claims, damages, liabilities, losses, penalties, legal fees or expenses arising from:
- Client content
- Client advertising
- Client products or services
- Client conduct
- Intellectual property disputes
- Regulatory violations
- Customer complaints
- Misuse of the platform
18. Force Majeure
AdsNet shall not be liable for failure to perform due to circumstances beyond reasonable control including:
- Internet failures
- Power failures
- Cyber attacks
- Government actions
- Natural disasters
- Labour disputes
- Third-party outages
19. Dispute Resolution
Parties agree to attempt good-faith resolution before initiating legal proceedings.
AdsNet may require disputes to first be submitted through its support and escalation process.
20. Governing Law
This Agreement shall be governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of South African courts.
