Terms of Use

1. Introduction
Welcome to AdsNet.
These Terms of Use govern your access to and use of the AdsNet platform, websites, landing pages, campaign creation tools, lead generation systems, hosted services, self-hosted deployment services, advertising management services and related products.
By creating an account, purchasing a package, using any AdsNet service or accessing any AdsNet resource, you agree to be bound by these Terms of Use.
If you do not agree to these Terms, you may not use AdsNet services.
2. Definitions
For purposes of these Terms:
AdsNet refers to AdsNet, its owners, operators, employees, contractors and authorised representatives.
Client refers to any individual, business, organisation or entity using AdsNet services.
Managed Services refers to services hosted, operated and maintained by AdsNet.
Self-Hosted Services refers to landing pages, campaigns or resources deployed to infrastructure owned or controlled by the Client.
Landing Page refers to any lead generation page, mini-site or web asset created through AdsNet.
Advertising Account refers to Google Ads, Meta/Facebook Ads or any other advertising account used in connection with AdsNet services.
Lead refers to an enquiry, form submission, call, email, WhatsApp message or other customer interaction generated through a landing page or advertising campaign.
3. Account Registration
By creating an AdsNet account, you represent and warrant that:
- You are legally capable of entering into a binding agreement.
- All information provided is accurate and current.
- You have authority to act on behalf of any business you represent.
- You will keep your login credentials secure.
- You are responsible for all activity performed under your account.
AdsNet reserves the right to suspend or terminate accounts containing false, misleading or fraudulent information.
4. Ownership of Managed Landing Pages
Managed AdsNet packages operate on a rental and subscription basis.
Unless otherwise agreed in writing:
- Landing pages hosted by AdsNet remain AdsNet resources.
- Landing page URLs assigned by AdsNet remain AdsNet property.
- Hosting infrastructure remains AdsNet property.
- Designs, templates, systems and underlying platform resources remain AdsNet property.
Payment of monthly subscription fees grants the Client a right to use the hosted service while the subscription remains active.
Monthly subscription fees do not transfer ownership of:
- Landing page URLs
- Hosting environments
- Platform systems
- AdsNet infrastructure
- AdsNet proprietary templates or software
Termination of a managed subscription may result in suspension or removal of hosted resources.
5. Ownership of Self-Hosted Resources
Where AdsNet deploys resources directly to a Client-owned website, server or hosting account:
- Ownership of deployed website files belongs to the Client.
- Ownership of Client-owned domains remains with the Client.
- Ownership of Client-owned hosting remains with the Client.
- Ownership of self-hosted landing pages transfers to the Client upon successful deployment and payment.
AdsNet retains ownership of proprietary software, templates, systems and intellectual property not specifically transferred in writing.
6. Advertising Account Ownership
Clients are encouraged to maintain ownership of their advertising accounts.
Where advertising accounts are created in the Client’s name:
- The Client remains the owner of the account.
- The Client remains responsible for advertising spend.
- The Client controls payment methods attached to the account.
AdsNet may be granted management access for campaign setup, optimisation or support purposes.
7. Transfer of Advertising Accounts
Where an advertising account, campaign structure or advertising asset is owned, managed or controlled by AdsNet, transfer of ownership may be requested by the Client.
Transfer requests:
- Are subject to review.
- May incur transfer fees.
- Start from R1,500.
- May increase based on account history, campaign complexity, accumulated value, optimisation work performed, account structure and related assets.
AdsNet reserves the right to determine the final transfer fee after assessment.
Transfer fees must be paid before ownership transfer is completed.
8. Client Responsibility for Content and Rights
The Client warrants that all content supplied to AdsNet is lawful.
This includes:
- Business names
- Logos
- Trademarks
- Images
- Videos
- Advertising content
- Website content
- Promotional materials
By using AdsNet services, the Client confirms they possess all necessary rights, licences, permissions and authorisations to use such content.
AdsNet accepts no responsibility for copyright infringement, trademark disputes or unauthorised use of third-party materials supplied by Clients.
9. Lead Generation Disclaimer
AdsNet provides tools, systems and services designed to generate leads and enquiries.
AdsNet does not guarantee:
- Sales
- Revenue
- Profit
- Conversion rates
- Customer quality
- Customer behaviour
- Number of leads
- Number of enquiries
- Advertising performance
Lead generation performance depends on many factors beyond AdsNet’s control, including:
- Industry demand
- Competition
- Seasonality
- Pricing
- Customer behaviour
- Advertising budgets
- Geographic location
- Market conditions
AdsNet’s responsibility is limited to providing the agreed setup, campaign structure and related services.
10. Advertising Spend Disclaimer
Advertising budgets are controlled by the Client unless otherwise agreed.
AdsNet is not responsible for:
- Advertising spend losses
- Poor campaign performance
- Customer purchasing decisions
- Customer non-responsiveness
- Customer fraud
- Competitor activity
- Market fluctuations
All advertising involves risk.
Clients remain responsible for approving and funding advertising campaigns.
11. No Endorsement
The existence of a landing page, campaign, business listing or hosted resource on AdsNet does not constitute endorsement, recommendation or approval by AdsNet.
AdsNet does not verify every claim made by Clients.
Users interact with businesses at their own discretion and risk.
12. Customer Interactions
AdsNet is not a party to transactions between businesses and their customers.
AdsNet does not:
- Negotiate sales
- Handle customer payments
- Guarantee products or services
- Guarantee delivery
- Guarantee customer satisfaction
- Act as an escrow service
Once a customer submits an enquiry or contacts a business, all further interactions occur directly between those parties.
Both businesses and customers are expected to exercise appropriate caution and due diligence.
13. Reviews and Reputation
AdsNet may review publicly available information and internal records when assessing clients.
However:
- Negative reviews alone do not automatically disqualify a business.
- AdsNet does not guarantee the reputation or conduct of any Client.
- AdsNet is not responsible for disputes between businesses and customers.
AdsNet reserves the right to suspend, reject or terminate services where credible evidence of unlawful activity exists, including registered criminal investigations or legal actions.
14. Limitation of Liability
To the fullest extent permitted by law, AdsNet shall not be liable for:
- Lost revenue
- Lost profits
- Lost opportunities
- Business interruption
- Data loss
- Advertising losses
- Reputational damage
- Indirect damages
- Consequential damages
The Client uses AdsNet services entirely at their own risk.
15. Suspension and Termination
AdsNet may suspend or terminate services where:
- Fees remain unpaid.
- Terms are violated.
- Fraudulent activity is suspected.
- Illegal activity is suspected.
- Platform abuse occurs.
AdsNet may remove hosted resources where required to protect its systems, users or legal interests.
16. Amendments
AdsNet may amend these Terms from time to time.
Continued use of the platform after amendments constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by the laws of the Republic of South Africa.
Any disputes shall be subject to the jurisdiction of South African courts.
